Terms of use
Last updated October 22, 2026. Includes the Lab Notebook terms (Section 9) and binding arbitration with a 30-day opt-out (Section 24).
Last updated: October 22, 2026
These Terms of Use ("Terms") are a binding agreement between you and Amiravo ("Amiravo," "we," "us," or "our"), governing your access to and use of amiravo.com, any subdomain or successor domain, and any account, tool, calculator, notebook, newsletter, or other feature we offer through them (together, the "Site").
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND CLASS-ACTION WAIVER (SECTION 24), DISCLAIMERS OF WARRANTIES (SECTION 15), AND A LIMITATION OF LIABILITY (SECTION 16) THAT AFFECT YOUR LEGAL RIGHTS. THE SITE IS A REFERENCE LIBRARY FOR LABORATORY RESEARCHERS. IT DOES NOT PROVIDE MEDICAL ADVICE, DOSING GUIDANCE, OR ANY RECOMMENDATION TO ADMINISTER ANY SUBSTANCE TO ANY PERSON OR ANIMAL.
1. Acceptance
1.1. By accessing or using the Site, clicking "I understand" or a similar control, creating an account, or subscribing to our email list, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
1.2. If you use the Site on behalf of an institution, laboratory, or company, you represent that you have authority to bind that entity, and "you" includes it.
1.3. Additional terms may apply to specific features. If an additional term conflicts with these Terms, the additional term controls for that feature only.
2. Eligibility and Researcher Representation
2.1. You must be at least 18 years old, or at least 21 years old where the law of your jurisdiction requires a higher age to access information about research compounds or to purchase or possess them. We do not knowingly permit anyone under 18 to use the Site.
2.2. By using the Site, you represent and warrant that: (a) you meet the age requirement in Section 2.1; (b) you are accessing the Site for bona fide laboratory, scientific, educational, or professional research purposes; (c) you are not accessing the Site to obtain guidance on administering any substance to yourself or to any other human or animal outside a lawful, supervised research setting; (d) you are not barred from using the Site under any applicable law; and (e) all information you provide to us is accurate.
2.3. Our entry notice is an acknowledgement of these Terms. It is not an age-verification system, an identity check, or an access control, and you may not rely on it as evidence that any other user is of age or is a researcher.
3. Nature of the Site: Information Only
3.1. The Site is an information library. It compiles and summarizes published scientific literature, regulatory records, and product labeling concerning peptides and related compounds, together with laboratory arithmetic tools, articles, comparisons, a glossary, and frequently asked questions.
3.2. Nothing on the Site is medical, veterinary, pharmaceutical, nutritional, legal, regulatory, financial, or other professional advice. Nothing on the Site is a diagnosis, treatment, cure, or prevention of any disease or condition, or a recommendation for one.
3.3. No content on the Site is intended to be, or should be read as, an instruction, suggestion, or encouragement to acquire, prepare, administer, inject, ingest, apply, or otherwise use any compound in or on any human or animal.
3.4. Content reflects the state of the cited sources at the date shown on the page. Science and regulation change. The Site may be incomplete, outdated, or wrong.
4. No Offer to Sell; Regulatory Status
4.1. The Site does not sell, offer to sell, broker, or facilitate the purchase of any compound, product, or service. References to compounds, suppliers, prices, availability, or vendors, where present, are informational and are not offers, endorsements, or solicitations.
4.2. Compounds described on the Site have not been evaluated by the U.S. Food and Drug Administration ("FDA") for safety or efficacy except where the Site expressly identifies a compound as FDA-approved and quotes its approved labeling. Compounds described on the Site are not drugs, foods, dietary supplements, or cosmetics unless and only to the extent that a government authority has so classified a specific product, which the Site will identify by citation.
4.3. Where the Site uses the phrase "research use only," "for laboratory research," or similar, it means that the information is provided for use in lawful, in-vitro, animal, or otherwise supervised research by qualified persons, and not for human consumption, clinical use, or self-administration.
4.4. If we later offer products for sale, the Commerce Rider in Appendix A will be activated by notice and a change to the "Last updated" date, and will govern those transactions in addition to these Terms.
5. No Dosing Guidance
5.1. The Site does not provide dosing guidance of any kind. We do not tell you how much of any compound to use, how often, by what route, for how long, or for what purpose.
5.2. Quoted label dosing. Where a compound is an FDA-approved drug, the Site may quote dosing information verbatim or in close paraphrase from the FDA-approved prescribing information, with citation. That quotation is a report of what the label says. It is not our recommendation, it is not tailored to any person, and it does not replace the full label, a prescriber, or a pharmacist. FDA-approved drugs are available only by prescription or as otherwise provided by law, and the approved product is not the same as a research-grade sample of a similar compound.
5.3. Reported trial doses. Where a compound is investigational, the Site may report the amounts, routes, and schedules used in specific published studies, with citation, as historical facts about those studies. Those reports describe what investigators did under institutional review, with monitoring, in defined populations. They are not instructions, not recommendations, and not evidence that any amount is safe or effective for anyone.
5.4. Unapproved compounds. For compounds that are neither FDA-approved nor the subject of controlled clinical trials that we have reviewed, the Site states no amounts for human or animal administration.
5.5. Calculators. The Site's calculators perform laboratory arithmetic only: reconstitution (mass and diluent volume to concentration), dilution, molarity, supply (how long a stated quantity lasts at a stated consumption rate), and unit conversion. They operate solely on numbers you enter. They do not know what compound you are working with, who or what the output is for, or whether any input is appropriate. Calculator outputs are not doses, dosing guidance, or recommendations of any kind, and must be independently verified before use in any laboratory setting.
5.6. Lab Notebook. The Lab Notebook (Section 9) is a record-keeping tool for laboratory activity on research samples. Any quantity it computes or displays, including remaining amount, is bookkeeping derived from your own entries. It is not a dose, a dosing record, or a dosing schedule.
5.7. You agree that you will not treat any number appearing on the Site as a dose, and that any decision to use any quantity of any compound for any purpose is yours alone and is made without reliance on the Site.
6. Accuracy, AI Assistance, and Errors
6.1. Portions of the Site's content are drafted or organized with the assistance of artificial-intelligence tools and then reviewed by human editors under our Editorial Policy. AI-assisted drafting can introduce errors, including misattributed citations, misstated figures, and plausible but unsupported statements. Human review reduces but does not eliminate those risks.
6.2. We display a "last reviewed" date on reference pages. That date indicates when a human last reviewed the page against its sources. It does not warrant that the page reflects all sources published before that date or any source published after it.
6.3. We have no duty to update, correct, or maintain any content, and we may remove or change content at any time without notice.
6.4. You must verify any information you intend to rely on against the primary sources cited, and against current regulatory records, before relying on it for any purpose. Evidence grades (A through D) are our editorial assessments of the cited literature, are subjective, and are not a measure of safety, efficacy, legality, or suitability.
6.5. If you find an error, please report it through our contact form with the page URL. We appreciate reports but do not undertake to act on them within any timeframe.
7. Third-Party Links, Citations, and Sources
7.1. The Site links to and cites third-party sources, including journal articles, preprints, regulatory databases, product labels, and other websites. We do not control those sources, do not endorse them, and are not responsible for their content, accuracy, availability, or practices.
7.1A. Referral links. Some pages contain referral links to a third-party research supplier, marked as referral links. If you buy through one, we may receive a commission at no added cost to you. The supplier is solely responsible for its products, testing, sales terms and legal compliance. Member discounts offered through referral links are set by the supplier and may change. A referral link is not an endorsement of any product or a recommendation to use any compound, and the supplier has no control over our content.
7.2. A citation indicates where we found information. It is not a representation that the cited work is correct, peer-reviewed, current, or free of conflicts of interest, and our summary may not capture the full context of the cited work.
7.3. Third-party sites have their own terms and privacy practices. Your use of them is at your own risk.
8. Accounts
8.1. Some features require an account. You must provide a valid email address and keep it current. You may provide a name; it is optional.
8.2. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us through our contact form immediately of any unauthorized use.
8.3. One person per account. You may not share, sell, or transfer an account.
8.4. We may suspend or terminate an account at any time, with or without notice, for any reason or no reason, including a suspected violation of these Terms, a legal request, a security concern, or discontinuation of the feature. We may also refuse to create an account for anyone.
9. Lab Notebook
9.1. What it is. The Lab Notebook is an optional, account-based tool in which you may record laboratory activity on research samples: vials (compound identifier, stated mass, lot or batch identifier), preparations (diluent volume added, yielding a computed concentration), and entries (date, amount withdrawn, free-text notes). It computes a remaining amount from your own inputs. It is a record-keeping tool for research. It is not a dosing log, a treatment diary, a medication tracker, or a health record, and you may not use it as one.
9.2. Additional eligibility. In addition to Section 2, by activating the Lab Notebook you represent and warrant that: (a) every sample you record is held and handled for lawful laboratory research and not for administration to any human or animal outside a lawful, supervised research setting; (b) you are solely responsible for the legality of acquiring, possessing, handling, storing, and disposing of every sample you record; (c) you are at least 18, or 21 where required; and (d) you will not record information about any other identified or identifiable person, including any subject, patient, client, or family member.
9.3. Your data. Notebook contents are yours. You grant us only the limited license in Section 12 needed to store, display, back up, and process them for you. We do not review notebook contents except as described in the Privacy Policy (for example, in response to a legal demand, a security incident, or a support request you initiate). Notebook contents may be sensitive to you; see the Privacy Policy for how we protect them and for the limits of that protection.
9.4. No reliance. The Lab Notebook is a convenience. Computed values depend entirely on the accuracy of your inputs and are not verified by us. You must maintain your own independent, authoritative laboratory records as required by your institution, funder, or applicable law, and must not rely on the Lab Notebook as your sole or official record. We may experience data loss, corruption, downtime, or discontinuation, and you accept that risk.
9.5. What it does not do. The Lab Notebook does not and will not: suggest amounts; pre-fill amounts from compound reference pages; compute, label, or display anything as a "dose"; propose, calculate, or remind you of schedules, intervals, or "next" events; perform body-weight or per-kilogram calculations; or evaluate whether any entry is appropriate. If you believe any part of the tool does any of those things, stop using it and report it through our contact form.
9.6. Export and deletion. You may export your notebook contents in a machine-readable format at any time through the tool or by request through our contact form. You may delete individual records or your entire account; deletion removes data from active systems promptly and from backups within the period stated in the Privacy Policy.
9.7. Suspension. We may suspend or disable the Lab Notebook for any account or for all users at any time, including if we reasonably believe it is being used contrary to Section 9.1, 9.2, or 9.5. Where practicable we will provide a reasonable period to export your data before permanent removal, but we are not obligated to do so where we believe the content or use is unlawful.
10. Acceptable Use
10.1. You agree not to: (a) use the Site in violation of any law or regulation, including controlled-substance, drug, import, export, customs, animal-welfare, and anti-doping laws; (b) use the Site to plan, document, or facilitate administration of any compound to any human or animal outside lawful, supervised research; (c) record, upload, or transmit any personal information about another person, or any protected health information; (d) scrape, crawl, bulk-download, or systematically extract content, except that ordinary search-engine indexing of public pages is permitted; (e) use any content to train, fine-tune, or evaluate a machine-learning model without our written permission; (f) reverse-engineer, probe, or interfere with the Site, its security, or its infrastructure; (g) misrepresent your identity, age, or purpose; (h) upload malicious code; (i) use the Site to send unsolicited communications; (j) frame, mirror, or republish the Site other than as permitted in Section 11; or (k) assist anyone else in doing any of the foregoing.
10.2. We may investigate suspected violations, preserve and disclose information as described in the Privacy Policy, and take any action we consider appropriate, including termination and referral to law enforcement.
11. Intellectual Property and Limited License
11.1. The Site, including its text, compilation, organization, evidence grading, data structures, calculators, software, design, graphics, and trademarks (including "Amiravo"), is owned by us or our licensors and is protected by copyright, trademark, trade-secret, and other laws. Quoted or cited third-party material remains the property of its owners and is used under citation, fair use, or license.
11.2. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial research and educational use, and to print or save individual pages for that use with attribution to amiravo.com.
11.3. You may quote brief excerpts with attribution and a link. You may not republish substantial portions, sell or license content, remove notices, or use our trademarks without written permission. All rights not expressly granted are reserved.
11.4. Feedback. If you send us suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
12. Your Content
12.1. "Your Content" means anything you submit to the Site, including notebook entries, saved calculator inputs, error reports, and messages. You retain ownership of Your Content.
12.2. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display to you, back up, and create derivative technical copies of Your Content solely to operate, secure, and improve the Site and to comply with law. For notebook contents, this license does not include publication, use in marketing, or use to train machine-learning models. The license ends when you delete the content, subject to retention periods in the Privacy Policy and to copies we must keep by law.
12.3. You represent that you have all rights needed to submit Your Content and that it does not violate any law or third-party right, including privacy rights.
12.4. We do not pre-screen Your Content and are not responsible for it, but we may remove any content we reasonably believe violates these Terms.
13. Copyright Complaints (DMCA)
We respect intellectual property. If you believe content on the Site infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent, the Amiravo Copyright Agent, through our contact form (topic “Copyright (DMCA) notice”). Our full DMCA policy, including counter-notice procedure and repeat-infringer policy, appears on our Copyright policy page. Knowingly misrepresenting infringement may expose you to liability under 17 U.S.C. § 512(f).
14. Assumption of Risk
14.1. You acknowledge that research compounds, including peptides, can be hazardous; that many are unapproved, unstandardized, and of unknown purity, identity, or stability; that information about them is incomplete and evolving; and that misuse can cause serious injury or death.
14.2. You acknowledge that the Site cannot assess your training, facilities, samples, intentions, or circumstances, and that any use you make of the Site's information, calculators, or Lab Notebook is undertaken at your sole risk, with your own professional judgment, and without reliance on us.
14.3. You knowingly and voluntarily assume all risks arising from your access to or use of the Site and from any decision you make or action you take in connection with it.
15. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, CALCULATORS, TOOLS, THE LAB NOTEBOOK, ACCOUNTS, EMAILS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY INFORMATION IS CORRECT, THAT ANY CALCULATION IS ACCURATE, THAT ANY STORED DATA WILL BE PRESERVED, THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE WILL MEET YOUR REQUIREMENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US OR ANY REPRESENTATIVE CREATES A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, IN WHICH CASE OUR WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT AND DURATION REQUIRED BY LAW.
16. Limitation of Liability
16.1. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMIRAVO, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, EDITORS, REVIEWERS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS (THE "AMIRAVO PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR RESEARCH, OR FOR PERSONAL INJURY, ILLNESS, OR DEATH, OR FOR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SITE, ITS CONTENT, ANY CALCULATOR OR TOOL, THE LAB NOTEBOOK, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
16.2. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE AMIRAVO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE TOTAL FEES YOU PAID TO US FOR THE SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
16.3. THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US; WE WOULD NOT PROVIDE THE SITE WITHOUT THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.
17. Indemnification
You agree to defend, indemnify, and hold harmless the Amiravo Parties from and against all claims, demands, suits, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site, any calculator, or the Lab Notebook; (b) Your Content; (c) your acquisition, possession, handling, preparation, administration, or disposal of any compound; (d) your violation of these Terms or any law; (e) your violation of any third-party right; or (f) any injury to any person or animal connected with your conduct. We may assume exclusive control of any matter subject to indemnification, at your expense, and you agree to cooperate. You may not settle any such matter without our written consent.
18. Release
To the fullest extent permitted by law, you release the Amiravo Parties from all claims, demands, and damages of every kind, known or unknown, suspected or unsuspected, arising out of or relating to any decision you make or action you take based on anything on the Site, any dispute with another user or third party, or any compound you acquire or use. If you are a California resident, you waive California Civil Code § 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
19. Compliance With Laws Is Your Responsibility
19.1. Laws governing research compounds vary by country, state, and locality and change frequently. Compounds discussed on the Site may be controlled substances, prescription drugs, unapproved new drugs, prohibited imports, or otherwise restricted where you are. Some may be lawful to possess for research but unlawful to administer, sell, or ship.
19.2. You are solely responsible for determining and complying with all laws that apply to you, including federal and state drug and controlled-substance laws, FDA and DEA requirements, customs and import/export laws (including those of the United States and your own country), institutional and ethics-board requirements, animal-welfare laws, professional licensing rules, and state consumer and health laws.
19.3. Athletes. Many compounds discussed on the Site appear on the World Anti-Doping Agency (WADA) Prohibited List or the lists of other sporting bodies. The Site does not assess anti-doping status. If you are subject to anti-doping rules, you are solely responsible for compliance.
19.4. We make no representation that the Site is appropriate or available outside the United States. If you access it from elsewhere, you do so on your own initiative and at your own risk.
20. No Professional Relationship
Nothing on the Site, and no communication from us, creates a physician-patient, pharmacist-patient, veterinarian-client, attorney-client, consultant-client, or any other professional or fiduciary relationship. Our editors and reviewers do not practice medicine, pharmacy, or law through the Site, and no content is tailored to you.
21. Medical Emergency
THE SITE IS NOT FOR EMERGENCIES. IF YOU OR ANYONE ELSE MAY HAVE BEEN EXPOSED TO, INGESTED, OR INJECTED ANY SUBSTANCE AND IS EXPERIENCING ANY ADVERSE EFFECT, CALL YOUR LOCAL EMERGENCY NUMBER (911 IN THE UNITED STATES) OR POISON CONTROL (1-800-222-1222 IN THE UNITED STATES) IMMEDIATELY. DO NOT USE THE SITE, ITS CALCULATORS, OR THE LAB NOTEBOOK TO ASSESS OR MANAGE AN EMERGENCY.
22. Changes to the Site and Terms
22.1. We may change, suspend, or discontinue any part of the Site at any time without liability.
22.2. We may revise these Terms. We will post the revised Terms with a new "Last updated" date and, for material changes affecting account holders, will send notice to the email on file or display a notice on the Site at least 14 days before the change takes effect, except where a change is required by law or addresses a security or legal risk, in which case it may take effect immediately. Continued use after the effective date is acceptance. If you do not agree, stop using the Site and, if applicable, delete your account.
22.3. Changes to Section 24 (arbitration) do not apply to disputes of which we had written notice before the change.
23. Termination
You may stop using the Site at any time and may delete your account through the account settings or by request through our contact form. We may terminate or suspend your access as described in Sections 8.4 and 9.7. Sections 3 through 7, 9.3 through 9.6, 11 through 21, and 23 through 30 survive termination.
24. Dispute Resolution: Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES INDIVIDUALLY AND LIMITS THE WAYS YOU CAN SEEK RELIEF.
24.1. Informal resolution first. Before starting arbitration or any other proceeding, you and we agree to try to resolve the dispute informally. The party raising the dispute must send a written notice to the other (to us: through our contact form; to you: your account email or other address on file) describing the dispute, the relief sought, and contact information. The parties will negotiate in good faith for 60 days from receipt. If the dispute is not resolved in that time, either party may proceed under this Section. Any statute of limitations is tolled during the 60-day period.
24.2. Agreement to arbitrate. Except as provided in Sections 24.6 and 24.7, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, its content, any tool, the Lab Notebook, the Privacy Policy, or our relationship, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after the effective date of these Terms (a "Dispute"), will be resolved exclusively by final and binding arbitration, rather than in court. This agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
24.3. Rules and forum. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Arbitration Rules if the Consumer Rules do not apply) then in effect, as modified by this Section. The rules are available at www.adr.org. The arbitration will be conducted by a single neutral arbitrator. Unless the parties agree otherwise, any in-person hearing will take place in Salt Lake County, Utah, provided that if you are a consumer and AAA rules require a hearing location closer to you, that rule controls. The arbitrator may conduct the proceeding by telephone, video, or written submissions.
24.4. Arbitrator's authority. The arbitrator, and not any court, has exclusive authority to resolve all disputes about the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, except that a court will decide whether the class-action waiver in Section 24.5 is enforceable. The arbitrator may award any relief available in court under applicable law, on an individual basis only, and must follow applicable law and these Terms. The arbitrator's award will be in writing and may be entered in any court of competent jurisdiction.
24.5. Class-action and jury waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim or request for relief, that claim or request (and only that) will be severed and litigated in court under Section 25, and all other claims will be arbitrated. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.
24.6. Small-claims carve-out. Either party may bring an individual claim in a small-claims court of competent jurisdiction in lieu of arbitration, so long as the claim remains in that court and is not removed or appealed to a court of general jurisdiction.
24.7. Injunctive relief and IP. Either party may seek a temporary restraining order or preliminary injunction in court to protect intellectual-property rights or to prevent unauthorized access to or use of the Site, pending arbitration.
24.8. Fees. Payment of filing, administrative, and arbitrator fees will be governed by AAA rules. If your claim is for US$10,000 or less and you are a consumer, we will pay all AAA filing, administrative, and arbitrator fees unless the arbitrator finds the claim frivolous. Each party bears its own attorneys' fees unless applicable law or the arbitrator provides otherwise.
24.9. Thirty-day opt-out. You may opt out of this agreement to arbitrate by sending written notice through our contact form with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms (or, for existing users, within 30 days after the "Last updated" date on which this Section was first added). The notice must include your name, the email associated with your account (if any), and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms, including the class-action waiver to the extent enforceable in court and the jury waiver.
24.10. Mass filings. If 25 or more similar arbitration demands are filed by or with the assistance of the same counsel or coordinated group, the parties agree that AAA's Mass Arbitration Supplementary Rules apply, that demands will be batched and resolved in staged bellwether proceedings of no more than 10 cases per stage, and that the statute of limitations is tolled for demands awaiting a stage.
24.11. Severability of this Section. Except as stated in Section 24.5, if any part of this Section is found unenforceable, the remainder will be enforced.
25. Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of Utah and applicable U.S. federal law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 24. Subject to Section 24, you and we agree that the state and federal courts located in Salt Lake County, Utah have exclusive jurisdiction over any Dispute, and you consent to personal jurisdiction and venue there and waive any objection based on inconvenient forum. Nothing in this Section deprives you of mandatory consumer protections of the jurisdiction where you reside, to the extent they cannot be waived.
26. Severability
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
27. Waiver
Our failure to enforce any provision is not a waiver of that provision or any other. Any waiver must be in writing and signed by us.
28. Assignment
You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of assets, and these Terms bind and benefit successors and permitted assigns.
29. Entire Agreement; Interpretation; Notices
29.1. These Terms, the Privacy Policy, the Research-Use Policy, and any additional terms posted on the Site constitute the entire agreement between you and us regarding the Site and supersede all prior agreements.
29.2. Headings are for convenience only. "Including" means "including without limitation." No rule of construction against the drafter applies.
29.3. We may give you notice by email to your account address, by posting on the Site, or by other reasonable means. Notices to us, including legal notices, must be sent through our contact form, marked “Attn: Legal”.
29.4. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
29.5. Export. You may not use the Site in violation of U.S. export or sanctions laws, and you represent that you are not located in an embargoed country or on any U.S. restricted-party list.
30. Contact

APPENDIX A — COMMERCE RIDER (not in force)
(This Rider is not in force. Amiravo does not sell any product or service. This Rider becomes effective only when we post a notice activating it and update the "Last updated" date. Until then, all references to orders, products, and purchases are inapplicable.)
A1. Scope. This Rider applies to any purchase of products ("Products") from us through the Site and supplements the Terms. Where this Rider and the Terms conflict regarding a purchase, this Rider controls.
A2. Research use only. All Products are sold strictly for in-vitro laboratory research and are not for human or veterinary use, diagnostic use, therapeutic use, food, or cosmetic use. By ordering you certify that you are a qualified researcher or an institution purchasing for research, that you are at least 18 (21 where required), that you will handle Products in accordance with applicable safety and legal requirements, and that you will not resell Products for any prohibited use. We may require documentation of research affiliation and may refuse or cancel any order.
A3. Orders and acceptance. Your order is an offer. We accept it only when we ship. We may cancel any order before shipment for any reason, including pricing or inventory errors, suspected fraud, suspected prohibited use, or shipping restrictions, and will refund any payment for a cancelled order.
A4. Pricing and payment. Prices are in U.S. dollars, exclude taxes and shipping unless stated, and may change without notice. You authorize us and our payment processor to charge your payment method for the total. We may correct obvious pricing errors before acceptance.
A5. Shipping and risk of loss. Shipping dates are estimates. Title and risk of loss pass to you when we deliver the Product to the carrier (FOB shipping point). We ship only to jurisdictions we designate and are not responsible for customs delays, duties, seizures, or import prohibitions, which are your responsibility. We do not ship to P.O. boxes or to any address outside the United States.
A6. Inspection, returns, and refunds. Inspect Products on receipt and report shortages, damage, or non-conformity within [7] days of delivery with photographs and lot numbers. Because Products are research materials with handling and chain-of-custody sensitivity, opened or temperature-sensitive Products are not returnable except for a confirmed defect. Our sole obligation for a confirmed defect is, at our option, replacement or refund of the purchase price. Return authorization is required; unauthorized returns may be refused.
A7. Product information. Certificates of analysis, purity statements, and specifications describe the lot tested and are provided for research reference only. They are not warranties of fitness for any purpose. All disclaimers and limitations in the Terms apply to Products.
A8. Chargebacks. You agree to contact us before initiating a chargeback. Chargebacks initiated without first contacting us, or for orders delivered as described, may result in account termination and collection of amounts owed, including fees.
A9. Taxes. You are responsible for all sales, use, and similar taxes not collected by us.
A10. Export and compliance. You will not export, re-export, or transfer Products in violation of U.S. or foreign law.
